Rules & Regulations
The following Rules and Regulations, hereby agreed to and accepted by Tenant, are prescribed by Landlord to promote the best interests of the tenants in the Building and the efficient and orderly administration and operation of the Building.
- Tenant, its officers, agents, contractors, and employees shall not block or obstruct any of the entries, passages, doors, elevators, elevator doors, hallways, or stairways of Building or any portion of the Property, or place, empty, or throw any rubbish, litter, trash, or material of any nature into such areas, or permit such areas to be used at any time except for ingress or egress of Tenant, its officers, agents, contractors, employees, patrons, licensees, customers, visitors, or invitees.
- The movement of furniture, equipment, machines, merchandise, or materials within, into, or out of the Premises, Building, or parking area shall be as approved by Landlord upon request from Tenant, and Tenant hereby assumes all liability and risk to property, Premises, and Building in such movement. Tenant shall not move furniture, machines, equipment, merchandise, or materials within, into, or out of the Building or the Premises without having first obtained a written permit from Landlord twenty‑four (24) hours in advance. Safes, large files, electronic data processing equipment, and other heavy equipment or machines may be moved into the Premises, Building, or parking areas only with Landlord’s written consent and placed where consented to by Landlord.
- No sign, door plaque, advertisement, or notice shall be displayed, painted, or affixed by Tenant, its officers, agents, contractors, employees, patrons, licensees, customers, visitors, or invitees in or on any part of the outside or inside of the Building or the Premises without the prior written consent of Landlord, and then only of such color, size, character, style, and materials and in such places as shall be approved and designated by Landlord. Signs on doors and entrances to the Premises shall be placed thereon by a contractor designated by Landlord and paid for by Tenant.
- Landlord will maintain an alphabetical directory board on the ground floor lobby of the Building containing the name of Tenant and such other names or information as permitted by the Lease.
- Landlord will not be responsible for lost or stolen property, equipment, money, or any article taken from the Premises, Building, or parking areas regardless of how or when the loss occurs.
- Tenant, its officers, agents, contractors, and employees shall not install or operate any refrigerating, heating, or air conditioning apparatus, or carry on any mechanical operation or bring into the Premises, Building, or parking areas any inflammable fluids or explosives.
- Tenant, its officers, agents, servants, or employees shall not use the Premises, Building, or parking areas for housing, lodging, or sleeping purposes or for the cooking or preparation of food without the prior written consent of Landlord.
- Tenant, its officers, agents, servants, employees, patrons, licensees, customers, visitors, or invitees shall not bring into the Building or Premises or keep on the Premises any fish, fowl, reptile, insect, or animal or any bicycle or other vehicle without the prior written consent of Landlord.
- No additional locks shall be placed on any door in the Building nor shall any locks be changed without the prior written consent of Landlord. Landlord will furnish two keys to each lock on doors in the Premises and Landlord, upon request of Tenant, shall provide additional duplicate keys at Tenant’s expense. Landlord may at all times keep a pass key to the Premises. All keys shall be returned to Landlord promptly upon the expiration or earlier termination of this Lease.
- Tenant, its officers, agents, contractors, or employees shall do no painting or decorating in the Premises, or mark, paint, or cut into, drive nails or screw into, or in any way deface any part of the Premises or Building without the prior written consent of Landlord. If Tenant desires signal communication, alarm, or other utility or service connection installed or changed, such work shall be done at expense of Tenant, with the approval and under the direction of Landlord.
- Landlord reserves the right to close the Building at the end of Business Hours, subject, however, to Tenant’s right to admittance under regulations prescribed by Landlord, and to require that persons entering the Building identify themselves and establish their right to enter or to leave the Building.
- Tenant, its officers, agents, contractors, and employees shall not permit the operation of any musical or sound-producing instruments or devices which may be heard outside the Premises, Building, or parking facilities or which may emanate electrical waves which will impair radio or television broadcasting or reception from or in the Building.
- All plate and other glass in the Premises or Building which is broken through causes attributable to Tenant, its officers, agents, contractors, employees, patrons, licensees, customers, visitors, or invitees shall be replaced by and at the expense of Tenant under the direction of Landlord.
- Tenant shall give Landlord prompt notice of all accidents to or defects in air conditioning equipment, plumbing, electric facilities, or any part or appurtenance of the Premises.
- The plumbing facilities shall not be used for any other purpose than that for which they are constructed, and no foreign substance of any kind shall be thrown therein, and the expense of any breakage, stoppage, or damage resulting from a violation of this provision by Tenant, its officers, employees, agents, contractors, patrons, customers, licensees, visitors, or invitees shall be borne by Tenant.
- All contractors or technicians performing work for Tenant within the Premises or Building shall be referred to Landlord for approval before performing such work. This shall apply to all work including, but not limited to, installation of telephones, electrical devices and attachments, and all installations affecting floors, walls, windows, doors, ceilings, equipment, or any other physical feature of the Building, the Premises, or parking facilities. None of this work shall be done by Tenant without Landlord’s prior written approval.
- No showcases or other articles shall be put in front of or affixed to any part of the exterior of the Building, nor placed in the halls, corridors, or vestibules, without the prior written consent of Landlord.
- Glass panel doors that reflect or admit light into the passageways or into any place in the Building shall not be covered or obstructed by Tenant and Tenant shall not permit, erect, or place drapes, furniture, fixtures, shelving, display cases or tables, lights or signs, and advertising devices in front of or in proximity of interior and exterior windows, glass panels, or glass doors providing a view into the interior of the Premises unless same shall have first been approved in writing by Landlord.
- No space in the Building or parking areas shall, without the prior written consent of Landlord, be used for manufacturing, public sales, or for the storage of merchandise, or for the sale of merchandise, goods, or property of any kind or auction.
- Canvassing, soliciting, and peddling in the Building or parking area is prohibited, and Tenant shall cooperate to prevent the same. In this respect, Tenant shall promptly report such activities to the Building Manager’s Office.
- There shall not be used in any space, or in the public halls of the Building, either by any Tenant or by jobbers or others, in the delivery or receipt of merchandise, any hand trucks, except those equipped with rubber tires and side guards.
- Neither Tenant nor any officer, agent, employee, servant, patron, customer, visitor, licensee, or invitee of any Tenant shall go upon the roof of the Building without the written consent of the Landlord.
- The work of janitors or cleaning personnel shall not be hindered by Tenant after 5:00 p.m., and such work may be done at any time thereafter. The windows, doors, and fixtures may be cleaned at any time. Tenant shall provide adequate waste and rubbish receptacles, cabinets, bookcases, cases, etc. necessary to prevent unreasonable hardship to cleaning personnel in discharging their obligation regarding cleaning service. In this regard, Tenant shall also empty all glasses, cups, and other containers holding any type of liquid whatsoever.
- In the event Tenant must dispose of crates, boxes, etc., which will not fit into office wastepaper baskets, it will be the responsibility of Tenant to dispose of same. In no event shall Tenant set such items in the public hallways or other areas of the Building or parking areas, excepting Tenant’s own Premises, for disposal.
- Landlord shall have the right, exercisable without notice and without liability to Tenant, to change the name and street address of the Building of which the Premises are a part.
- Tenant is cautioned in purchasing furniture and equipment that the size is limited to such as can be placed on the elevator and will pass through the doors of the Premises. Large pieces should be made in parts and set up in the Premises. Landlord reserves the right to refuse to allow to be placed in the Building any furniture or equipment of any description which does not comply with the above conditions.
- Tenant will be responsible for any damage to the Premises, including carpeting and flooring, as a result of rust or corrosion of file cabinets, roller chairs, metal objects, or spills of any type of liquid.
- Tenants employing laborers or others performing work outside of the Building shall not have such employees paid in the Building, but shall arrange to pay their salaries elsewhere.
- If any lunchroom within the Premises becomes infested with vermin, Tenant, at its sole cost and expense, shall cause same to be exterminated from time to time, to the satisfaction of Landlord, and shall employ such exterminators therefor as shall be approved by Landlord.
- Tenant shall not install any antenna or aerial wires, radio or television equipment, or any other type of equipment, inside or outside of the Building, without Landlord’s prior approval in writing, and upon such terms and conditions as may be specified by Landlord in each and every instance.
- Tenant shall not make or permit any use of the Premises, Building, or parking area which, directly or indirectly, is forbidden by law, ordinance, or governmental or municipal regulation, code, or order, or which may be disreputable, or which may be dangerous to life, limb, or property.
- Tenant shall not advertise the business profession or activities of Tenant in any manner which violates the letter or spirit of any code of ethics adopted by any recognized association or organization pertaining thereto, or use the name of the Building for any purpose other than that of the business address of Tenant or use any picture or likeness of Building or the Building name in any letterheads, envelopes, circulars, notices, advertisements, containers, or wrapping material without Landlord’s express consent in writing.
- Tenant, its officers, agents, employees, servants, patrons, customers, licensees, invitees, and visitors shall not solicit business in the Building’s parking areas or Common Area, nor shall Tenant distribute any handbills or other advertising matter in automobiles parked in the Building’s parking areas.
- Tenant shall not conduct its business in such manner as to create any nuisance, interfere with, annoy, or disturb any other tenant in the Building or Landlord in its operation of the Building. Tenant shall not commit waste or suffer or permit waste to be committed in the Premises, Building, or parking areas. In addition, Tenant shall not allow its officers, agents, employees, contractors, patrons, customers, licensees, and visitors to conduct themselves in such manner as to create any nuisance, interfere with, annoy, or disturb any other tenant in the Building or Landlord in its operation of the Building or commit waste or suffer or permit waste to be committed in the Premises, Building, or parking areas.
- Tenant shall permit Landlord or its agents to enter the Premises to make inspections, repairs, alterations, or additions in or to the Premises or Building, and, at any time in the event of emergency, permit Landlord to perform any acts related to the safety, protection, preservation, reletting, or improvement of the Premises or Building.
- Tenant shall not do anything in the Premises or Building, or bring or keep anything therein, which will in any way increase the risk of fire or the rate of fire insurance, or which will conflict with the regulations of the Fire Department or the fire laws, or with any insurance policy on the Building or any part thereof, or with any law, ordinance, rule, or regulation affecting the occupancy and the use of the rooms, now existing or hereafter enacted or promulgated by any public authority or by the Board of Fire Underwriters.
- Landlord shall have the right to make such other and further reasonable, non-discriminatory rules and regulations as in the judgment of Landlord may from time to time be needful for the safety, appearance, care, and cleanliness of the Building and for the preservation of good order therein. Landlord shall not be responsible to Tenant for any violation of rules and regulations by other tenants.
The parties agree that the foregoing Rules and Regulations, and any amendments thereof, shall not be construed to limit in any way the provisions of the Lease, but shall be supplementary thereto. In the event of a conflict between the Lease and the Rules and Regulations, the Lease shall prevail.
Miscellaneous Items
Vendors
All tenants must register their vendors with the Management Office.
Window Coverings
Additional window coverings are prohibited. Please refrain from placing plants, books, etc., on your windowsills to eliminate an untidy appearance. Keep all window coverings in the down position to preserve an aesthetically pleasing exterior look to the building and to help maintain a constant room temperature. Please do not tape anything to the windows as damage may occur.
Signs
All unapproved signs will be removed and disposed.
